Capitalised terms carry the meaning given here throughout, including the schedules. Where a schedule conflicts with this agreement, the agreement prevails.
This agreement runs twelve months from the effective date and renews unless either party gives sixty days’ notice.
A contract has to survive revision without quietly breaking: a clause renumbers itself when one above it is added or removed, and a reference has to know if what it pointed to is gone. None of that is an argument about the deal — it is the plumbing a contract needs so the argument can happen in the clauses themselves, not in whether the document still holds together. Agreement here is a reply or a recorded choice, not a signature to chase down.
A clause number nobody has to maintain
Numbering is worked out fresh each time the document renders, so inserting a clause at the start does not mean retyping the numbers that follow it.
A reference that knows when it is broken
Point at another clause and the number stays current as the document is edited; delete that clause and the reference says plainly that its target is gone, rather than quietly pointing at the wrong one.
Acceptance that does not wait on a signature
A reader accepts by replying or by choosing a priced option, and either way it is on the record — there is no signature page to print, sign and scan back.
